Welcome to Bay Area Small (the “Platform,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your access to and use of our website, applications, business listings, content, and related services. Bay Area Small is a MediaNewsCo service and brand.

By accessing or using the Platform, you agree to these Terms. If you do not agree to these Terms, please do not use the Platform.

About the Platform

Bay Area Small is a local business directory that allows users to discover, search for, and learn about businesses and services in their area.

We may provide business listings, contact information, descriptions, photographs, offers, links, and other information submitted by businesses, users, or third-party sources.

Unless expressly stated otherwise, we are a directory and information service and are not a party to transactions between users and businesses listed on the Platform.

Business Profiles

Users who create, claim, or manage business profiles agree to provide and maintain accurate, complete, and current information.

Business profile managers are responsible for reviewing their profiles regularly and removing or updating information that is inaccurate, misleading, or outdated. This may include business names, addresses, telephone numbers, websites, hours of operation, pricing, services, photographs, and other listing information.

Users must not create or manage business profiles for businesses without appropriate authorization.

We reserve the right to edit, update, remove, suspend, or decline to publish any business profile or information at our discretion, including where we believe the information is inaccurate, misleading, unlawful, outdated, or inconsistent with these Terms.

A listing on the Platform does not constitute an endorsement, certification, recommendation, or guarantee of the business, its products, or its services.

Accuracy of Information

We make reasonable efforts to maintain useful and accurate directory information, but we do not guarantee that information on the Platform is always accurate, complete, current, or error-free.

Business hours, prices, availability, contact information, services, and other details may change without notice.

Users should independently verify important information directly with the relevant business before relying on information provided through the Platform.

User Accounts

Certain features may require you to create an account.

You agree to provide accurate and current information, keep your login credentials confidential, notify us promptly if you believe your account has been compromised, and accept responsibility for activity occurring through your account.

We may suspend or terminate accounts that violate these Terms or that we reasonably believe are being used improperly.

Reviews, Ratings, and User Content

The Platform may allow users to submit reviews, ratings, photographs, comments, and other content (“User Content”).

You are responsible for the User Content you submit and agree that it must be truthful, lawful, and appropriate for the Platform.

Users agree not to post, upload, transmit, or otherwise distribute:

  • Slanderous, libelous, defamatory, or knowingly false material.
  • Pornographic or sexually explicit material.
  • Material that promotes, encourages, threatens, or incites violence.
  • Material that promotes or incites civil unrest, riots, or unlawful activity.
  • Material that harasses, threatens, abuses, or unlawfully discriminates against another person.
  • Material that infringes another person’s intellectual-property, privacy, publicity, or other rights.
  • Confidential or sensitive personal information without appropriate authorization.
  • Malicious code, viruses, or other harmful software.
  • Fraudulent, deceptive, or materially misleading content.
  • Content that impersonates another person, business, or organization.
  • Content submitted in exchange for undisclosed compensation or incentives.

We may remove, restrict, or refuse to publish User Content that we believe violates these Terms, our policies, or applicable law.

We do not necessarily monitor every submission and cannot guarantee that prohibited content will be identified or removed immediately.

Reviews and Ratings

Reviews and ratings represent the opinions of the users who submit them and do not necessarily reflect our views.

We do not guarantee the authenticity, accuracy, or reliability of any review or rating.

Users must not manipulate reviews or ratings, including by submitting fake reviews, arranging undisclosed incentivized reviews, posting reviews on behalf of others, or improperly pressuring customers to leave particular ratings.

Businesses may not require, coerce, or improperly influence customers to post positive reviews or remove negative reviews.

We may establish procedures for reporting reviews, responding to reviews, detecting fraudulent activity, and removing content that violates these Terms or applicable policies.

Prohibited Uses

You may not use the Platform to:

  • Violate any applicable law or regulation.
  • Harass, abuse, threaten, or harm another person.
  • Misrepresent your identity or affiliation.
  • Create fraudulent business listings, accounts, reviews, or ratings.
  • Scrape, harvest, or systematically collect Platform data without our written permission.
  • Use automated systems to access the Platform in a manner that imposes an unreasonable burden on our systems.
  • Upload viruses, malware, or other harmful code.
  • Interfere with the operation, security, or integrity of the Platform.
  • Send unauthorized spam or unsolicited communications.
  • Copy, reproduce, sell, or commercially exploit Platform content except as permitted by these Terms or applicable law.

Intellectual Property

The Platform and its original content, design, software, trademarks, logos, graphics, and other materials are owned by or licensed to MediaNewsCo and are protected by applicable intellectual-property laws.

Except as expressly permitted by these Terms, you may not reproduce, modify, distribute, publicly display, sell, license, or otherwise commercially exploit our proprietary materials without our prior written permission.

Business names, trademarks, logos, photographs, and other materials submitted by businesses remain the property of their respective owners, subject to the rights and licenses granted to us under these Terms.

Third-Party Businesses and Services

The Platform may contain links to third-party websites, booking services, ordering platforms, payment providers, social-media accounts, or other external services.

We do not control or operate those third-party services and are not responsible for their content, availability, security, policies, products, services, or transactions.

Your interactions and transactions with businesses or third parties are solely between you and the relevant third party.

No Guarantee of Business Services

We do not guarantee the quality, safety, legality, availability, qualifications, pricing, or performance of any business listed on the Platform.

We are not responsible for products or services purchased from listed businesses, disputes between users and businesses, cancellations, missed appointments, property damage, personal injury, or other losses arising from interactions with listed businesses, except to the extent liability cannot lawfully be excluded.

We may offer businesses paid listings, advertising, featured placement, promotional opportunities, subscriptions, or other paid services.

Fees, billing terms, cancellation policies, and applicable service-specific terms will be disclosed at the time of purchase or in a separate agreement.

Paid placement does not necessarily mean that we endorse or recommend a business.

Payments

Where the Platform facilitates payments, transactions may be processed by third-party payment providers.

You agree to provide accurate billing information and authorize applicable charges.

We are not responsible for failures or errors caused by third-party payment processors, except where required by applicable law.

Privacy

Your use of the Platform is also subject to our Privacy Policy, which explains how we collect, use, disclose, and protect personal information.

Disclaimer of Warranties

To the maximum extent permitted by law, the Platform is provided on an “as is” and “as available” basis.

We make no warranties, express or implied, regarding the Platform or information made available through it, including warranties concerning accuracy, availability, reliability, merchantability, fitness for a particular purpose, or non-infringement.

Nothing in these Terms excludes any warranty or consumer right that cannot legally be excluded.

Limitation of Liability

To the maximum extent permitted by applicable law, MediaNewsCo and its owners, officers, employees, affiliates, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your use of the Platform.

To the extent liability may legally be limited, our total liability arising from your use of the Platform will not exceed the greater of:

  • The amount you paid us for use of the relevant service during the [six/twelve] months preceding the event giving rise to the claim; or
  • [$100].

These limitations do not apply where prohibited by applicable law.

Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless MediaNewsCo and its affiliates, officers, employees, agents, and service providers from claims, liabilities, damages, losses, and expenses arising out of or related to:

  • Your violation of these Terms.
  • Your User Content.
  • Your unlawful or unauthorized use of the Platform.
  • Your violation of another person’s rights.
  • Your interactions or transactions with businesses listed on the Platform.

Suspension and Termination

We may suspend, restrict, or terminate your access to the Platform if we reasonably believe that you have violated these Terms, applicable law, or our policies.

We may also modify, suspend, or discontinue all or part of the Platform at any time.

Where required by law, we will provide any notices, refunds, or other remedies applicable to a termination or service discontinuation.

Changes to These Terms

We may update these Terms from time to time.

When we make material changes, we may provide notice through the Platform or by other reasonable means.

Your continued use of the Platform after updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by law.

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Any disputes will be resolved in the courts located in Kent County, Delaware, unless applicable law requires another forum or the parties agree to an alternative dispute-resolution process.

Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be modified or severed to the minimum extent necessary, and the remaining provisions will remain in effect.

Entire Agreement

These Terms, together with any policies or additional terms expressly incorporated by reference, constitute the agreement between you and MediaNewsCo regarding your use of the Platform.

They supersede prior agreements concerning the same subject matter, except where a separate written agreement expressly governs a particular service.
